Terms of Service

These terms govern access to labpi.io and, unless you have a separate signed agreement with LabPi, your use of the LabPi laboratory platform. If you do not agree, do not use the site or the service.

Agreement to these terms

These Terms of Service (“Terms”) are a contract between you and LabPi Technologies, Inc. (“LabPi”, “we”, “us”). “You” means the business that opens an account or evaluates LabPi, and the person using the site on that business’s behalf. You confirm that you have authority to bind that business.

If you sign an order form, master subscription agreement, data-processing addendum, or business associate agreement with LabPi, that signed document controls where it conflicts with these Terms. These Terms still apply to anything the signed document does not cover, including use of the public website.

The service

LabPi is a cloud software platform for laboratory operations, including sample tracking, workflows, quality records, reporting, and related portals and APIs. We may improve, add, or retire features. We will not materially reduce the core service during a paid subscription term without notice.

The public website, including industry pages, blog posts, and demos, describes the product. A description on the website is not a warranty that a specific configuration, instrument, or regulation is already set up in your tenant. Scope for a paid deployment is what the order or statement of work says.

Eligibility and accounts

LabPi is offered to businesses, not to consumers for personal use. You must provide accurate registration information and keep it current. You are responsible for all activity under your users’ credentials, for inviting only people who should have access, and for removing access when someone leaves the lab.

Tell us promptly at legal@labpi.io if you believe an account has been compromised. We may suspend an account that was opened with false information, by a bot, or in violation of these Terms.

Customer data

You retain all rights in data, samples records, results, documents, and other content you or your users submit to the service (“Customer Data”). You grant LabPi a limited license to host, copy, and process Customer Data only to provide, secure, and support the service, and as you configure it (for example, sending a report the lab has authorized).

You are responsible for the legality of Customer Data, including notices to patients, clients, or employees, and for the accuracy of what your lab releases. You will not submit content you do not have rights to process. On written request during the subscription, or within 30 days after it ends, we will make a reasonable export of Customer Data available. After that window we may delete it from production systems, except copies we must keep for legal, security, or backup-retention reasons.

Acceptable use

You will not, and will not allow others to:

  • Break the law, or infringe someone else’s privacy or intellectual property, using the service.
  • Probe, scan, or test the vulnerability of the service without our written permission, or attempt to bypass access controls.
  • Interfere with the service or overload it, including by automated scraping of the website beyond normal browsing.
  • Use the service to build or benchmark a competing product, except with our prior written consent.
  • Upload malware, or use the service to send unlawful messages.
  • Misrepresent results, certificates, or audit records generated from the service.

Trials, subscriptions, and fees

A free trial, if offered, is for evaluation. Trial data may be deleted at the end of the trial unless you convert to a paid plan and we agree to keep it. Paid plans, limits, and prices are those stated on the pricing page or in an order form. Fees are in U.S. dollars unless the order says otherwise, and they exclude taxes, which you are responsible for paying except for taxes on LabPi’s net income.

Subscriptions renew for the same term unless you cancel before the renewal date. You can cancel from the account or by emailing us. Fees already paid are non-refundable except where the law requires a refund or a signed agreement says otherwise. If a payment fails, we may suspend the service after notice. We may change list prices for a later term by posting the new price or stating it on the renewal notice. The price for a term you have already paid does not change mid-term.

Implementation services

Implementation, migration, validation support, and training are professional services. They are provided as described in a statement of work. Dates in a proposal are estimates. Work is accepted when the statement of work’s completion criteria are met, or if you use the configured system in production. Hours not used by the date in the statement of work expire unless that document says otherwise. A change in scope needs a written change order.

Intellectual property

LabPi and its licensors own the service, the website, the software, the documentation, and the LabPi name and logos. We grant you a limited, non-exclusive, non-transferable right to use the service during a subscription, for your internal laboratory operations and the client or patient portals you configure. You do not receive any other rights. Feedback you give us may be used to improve the product without obligation to you.

You may not copy, modify, or reverse engineer the service except to the extent a law forbids that restriction. You may not remove proprietary notices.

Confidentiality

Each party will protect the other party’s non-public business, technical, and security information with reasonable care and use it only to perform under these Terms. Customer Data is your confidential information. This duty does not cover information that is public through no fault of the receiver, already known without a duty, independently developed, or rightfully received from someone else. A party may disclose confidential information if the law requires it, after giving notice when legally allowed.

Privacy

Personal information we collect on the website and about account contacts is handled under the Privacy Policy. Customer Data that includes personal information is handled under these Terms and any data-processing addendum or business associate agreement we sign with you.

Third-party services

The service can connect to instruments, identity providers, messaging channels, and other systems you choose. Those services are governed by their own terms. LabPi is not responsible for a third-party product we do not control. Your use of an integration is your instruction to exchange data with that system.

Disclaimers

The website and the service are provided “as is.” Except where a signed agreement expressly states otherwise, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. LabPi does not practice laboratory medicine or issue scientific results. You are responsible for method validation, quality review, and any report your lab releases. We do not warrant that the service will be uninterrupted or error-free.

Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential, or lost-profit damages, or for loss of data or goodwill, even if advised of the possibility. Each party’s total liability arising out of these Terms in a 12-month period is limited to the fees you paid LabPi for the service in that period. If you are on a free trial, that cap is one hundred U.S. dollars.

These limits do not apply to a party’s fraud, or to your payment obligations, or to a liability that cannot legally be limited. Nothing in these Terms excludes liability for death or personal injury caused by negligence where the law forbids that exclusion.

Indemnity

You will defend and indemnify LabPi against third-party claims that arise from Customer Data, your laboratory’s released results, or your breach of these Terms, including reasonable legal fees. We will defend you against a third-party claim that the unmodified service infringes that party’s patent, copyright, or trademark, and pay damages finally awarded, provided you give us prompt notice and reasonable cooperation. We may procure a license, modify the service, or end the affected feature and refund prepaid fees for the unused period. This is your exclusive remedy for an intellectual-property claim against the service.

Suspension and termination

You may stop using the website at any time and may cancel a subscription as described above. We may suspend access immediately if we reasonably believe there is a security risk, unlawful use, or a failure to pay. Either party may terminate for a material breach that is not cured within 30 days after written notice. Sections that by their nature should survive, including intellectual property, confidentiality, disclaimers, liability limits, and indemnity, survive termination.

Changes

We may update these Terms by posting a new version on this page. If you have a paid subscription, material changes take effect at the start of the next term, or sooner if required by law or if you accept them in the product. Continued use of the website after the posted date means you accept the updated Terms for the website.

Other terms

These Terms are the entire agreement for their subject matter and replace earlier website terms. A signed customer agreement remains in force alongside them as described above. If a court holds one provision unenforceable, the rest stay in effect. You may not assign these Terms without our consent, except to a successor of your business. We may assign them to an affiliate or a successor. Failure to enforce a provision is not a waiver.

The laws of the place where LabPi Technologies, Inc. is incorporated govern these Terms, without regard to conflict-of-law rules. The courts of that place have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction for misuse of intellectual property or confidential information. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
